Welcome to Fronesis, a decentralized autonomous organization (DAO) and DePIN (Decentralized Physical Infrastructure Network) platform designed to facilitate a peer-to-peer (P2P) GPU marketplace. By accessing or using Fronesis services, you acknowledge and agree to the following Terms and Conditions, which constitute a binding agreement. If you do not agree, you are prohibited from using the platform.
Fronesis is a decentralized, community-driven platform connecting individuals seeking GPU resources with GPU providers. The Fronesis DApp operates as a marketplace for peer-to-peer transactions in a decentralized, trustless environment. Fronesis does not act as a company or legal entity but as a DAO governed by FRO token holders. This platform is exclusively for facilitating direct transactions between users without any profit-sharing or equity distribution.
Important Note: Fronesis was initiated by a group of individual creators, but control over the platform will transition to the community and FRO token holders upon project completion. Fronesis disclaims all liability related to individual transactions on the platform and does not guarantee or assume responsibility for interactions between users.
Fronesis operates as a DAO, with governance and decision-making led by FRO token holders. The platform’s development, updates, and key decisions are made through a decentralized governance model, with no central management or ownership.
Decentralized Governance: FRO token holders vote on platform proposals, ensuring that the direction of Fronesis is led by its community. Governance decisions include, but are not limited to, updates, feature integrations, and ecosystem improvements.
No Profit Sharing or Equity: FRO tokens grant governance rights but do not entitle holders to profit-sharing, dividends, or ownership interests. The platform exists solely as a peer-to-peer marketplace and DAO.
Age Requirement: Users must be at least 18 years old to participate in the Fronesis DApp and access its services.
Jurisdictional Restrictions: Users from certain restricted jurisdictions, including but not limited to the United States, China, and any other countries with stringent regulations on token offerings, are prohibited from participating in the Fronesis token sale or governance activities. Users are responsible for ensuring compliance with local laws applicable to them.
KYC and AML Compliance: To comply with regulatory requirements, Fronesis may implement KYC (Know Your Customer) and AML (Anti-Money Laundering) checks. KYC requirements will be imposed post-sale, prior to token distribution, based on the user’s jurisdictional requirements.
Platform as-is: The Fronesis platform is provided on an “as-is” basis, with no guarantees regarding availability, reliability, or suitability for any specific purpose. Users engage with the platform at their own risk.
Limitation of Liability: Fronesis, its creators, contributors, and DAO members disclaim all liability for any direct, indirect, incidental, or consequential damages, including but not limited to loss of data, revenue, or profits arising from use of the platform. Fronesis is not liable for individual transactions, disputes, or issues between users on the P2P marketplace.
No Financial or Legal Advice: Fronesis is a decentralized marketplace and does not offer investment, financial, or legal advice. Users should consult their advisors before making any decisions regarding participation in Fronesis.
Intellectual Property: All proprietary content on the Fronesis platform, including logos, graphics, and software, is the intellectual property of the original creators. Users may not reproduce, copy, or distribute this content without express written consent.
Limited License for User-Generated Content: By uploading content to the Fronesis platform, users grant Fronesis a non-exclusive, royalty-free license to use, display, and distribute such content for purposes related to the operation and promotion of the platform.
Users agree to indemnify and hold harmless Fronesis, its creators, and contributors from any claims, losses, damages, liabilities, and expenses (including legal fees) arising out of or related to their use of the platform, violation of these Terms, or infringement of any third-party rights.
Cryptocurrency and Blockchain Risks: Participation in Fronesis involves inherent risks related to the volatility of cryptocurrency markets, blockchain technology, and DeFi ecosystems. Users acknowledge that they fully understand these risks before engaging with the platform.
DAO Governance Risks: Fronesis operates under a DAO governance model where FRO token holders make decisions collectively. Users understand that DAO decisions may affect platform operations, features, and future developments, and that such decisions may not align with individual user preferences.
Fronesis is not a registered company or legal entity and has no centralized control. The platform was created by individuals who hold no ongoing responsibility for its management or functionality after the handover to the DAO. All platform activities and decisions are managed by the community of FRO token holders, without involvement from the original creators once the transition is complete.
Fronesis reserves the right to amend or update these Terms at any time. Material changes will be communicated to the community, and continued use of the platform constitutes acceptance of the revised Terms.
These Terms are governed by the applicable laws in [Jurisdiction], without regard to conflicts of law principles. Any disputes arising out of these Terms shall be resolved in [Jurisdiction] courts.
